Purchase Agreement

These Season Ticket Member Terms & Conditions form a legally binding agreement (the “Agreement”) between Angel City FC, LLC (“Angel City” or “ACFC”) and the purchaser of any Angel City season tickets (“You”, “Your” or “Purchaser”). This Agreement is effective upon purchase of your season tickets and sets forth the terms and conditions under which You will receive the right to said seats at BMO Stadium located at 3939 S. Figueroa Street, Los Angeles, CA 90037 (the “Stadium”).

AUTOMATIC RENEWAL NOTICE TO CONSUMERS REQUIRED UNDER CALIFORNIA LAW. THIS AGREEMENT AND YOUR ANGEL CITY SEASON TICKETS CONTAIN AN AUTOMATIC RENEWAL FEATURE. SEASON TICKET MEMBERSHIP PAYMENTS WILL CONTINUE UNTIL YOU OPT-OUT OF YOUR SEASON TICKET MEMBERSHIP. YOU MAY OPT OUT BY RESPONDING TO THE AUTOMATIC RENEWAL NOTICE ANGEL CITY WILL SEND TO THE EMAIL ADDRESS ASSOCIATED WITH YOUR ANGEL CITY SEASON TICKETS. IF YOU DO NOT RESPOND, YOUR SEASON TICKETS WILL AUTOMATICALLY RENEW AND YOUR PAYMENT CARD WILL BE CHARGED. BY ACCEPTING THIS AGREEMENT, YOU ARE EXPRESSLY AGREEING TO THE AUTOMATIC RENEWAL FEATURE OF YOUR ANGEL CITY FC SEASON TICKETS.

THIS AGREEMENT INCLUDES AN ARBITRATION PROVISION WITH A CLASS ACTION AND JURY TRIAL WAIVER. THE ARBITRATION PROVISION MAY HAVE A SUBSTANTIAL IMPACT ON THE WAY IN WHICH YOU OR ANGEL CITY FC RESOLVE ANY CLAIM ARISING FROM THIS AGREEMENT.

1. Rights Reserved. You understand Angel City reserves the right in its sole discretion to change, amend, update or modify policies, payment plans (including pricing) for future seasons, benefits, and procedures related to your Angel City FC season tickets upon notice to you.

2. Account Ownership and Changes. You warrant that you have the authority to authorize charges to the account listed in your Ticketmaster Account Manager portal (or such other similar portal that may be provided by Angel City’s ticketing provider) for the purpose of paying your Angel City FC season ticket annual fees. Angel City FC season tickets are not transferable from one person or entity to another without obtaining Angel City FC’s express written approval. The owner name under which an account has been opened may not be changed, except in the following circumstances: Legal name change, change in marital status, change in business name, dissolution of business, sale of business, or death of account holder. All requests for account information changes must be submitted to Angel City in writing; provided, that if your payment card information changes, you will promptly update your Ticketmaster Account Manager portal (or such other similar portal that may be provided by Angel City’s ticketing provider) and this authorization will remain in effect for the new payment card information. Your Angel City FC season tickets shall not be deemed to be property of an estate in bankruptcy and are not transferable under the United States Bankruptcy Code. In the event that You file for protection under any chapter of the Bankruptcy Code, Your season tickets shall immediately become void and of no further force and effect, and Angel City shall be entitled to resell the season tickets to a third party in their sole discretion. If You are deceased, the court appointed personal representative may transfer the season tickets to one or more of Your immediate family members. The personal representative must provide documentation from an applicable court authorizing them to act in that capacity and information or documentation to demonstrate that the transferee is an immediate family member.

3. Your Angel City Season Ticket is a Revocable License. Your Angel City FC season ticket includes tickets to Angel City FC’s NWSL (defined below) regular season home games at BMO Stadium. Your Angel City FC season ticket (and included ticket(s)) is a limited, revocable license issued by Angel City to permit the individual or corporate entity name that appears on the account of record to attend Angel City games at the stadium. Any breach of this Agreement, or any other applicable policies or codes of conduct, shall entitle Angel City FC to all available legal remedies, including but not limited to revocation or cancellation of your Angel City FC season ticket or access to Angel City tickets.

4. All Sales are Final. NO REFUNDS OR EXCHANGES. All sales of Angel City FC season tickets are final, and all payments made in connection with your Angel City season tickets are non-refundable, whether made online, in-person, or otherwise. We will notify you by email prior to the upcoming National Women’s Soccer League (“NWSL”) season with ticket delivery information, provided you are up to date with paying your annual Angel City FC season ticket dues. Payments must be timely made on or before the agreed upon payment plan dates. Angel City reserves the right to restrict entry to Angel City games or events and/or revoke Angel City Season Ticket Member privileges and/or benefits if scheduled installment payments are not timely paid and/or if any authorized charge is refused by your credit card company for any reason. Under all payment plans, all payments are due on the dates specified regardless of game cancellations, postponement, or rescheduling. You understand that a reduction in the number of Angel City games played at the Stadium in a given year, or any change in the NWSL competition format, shall not entitle you to a refund or reduction in the amount of your season ticket dues. Failure to continue scheduled payments in the event of canceled or rescheduled games may result in cancellation of your Angel City FC season tickets. You understand and agree that Angel City is not liable in any way for erroneous billing statements or incorrect charges and that should such an error occur in billing, Angel City’s only responsibility is to correct it when and if Angel City receives notice of the error. Angel City reserves the right to charge a processing fee in the event a charge is refused for any reason.

5. Ticket Resale Policy. All Angel City season tickets are sold to fans for their personal or business use. You acknowledge that it is unlawful to sell or resell tickets on Stadium or adjoining property without written permission as required by L.A. Municipal Code § 42.03. Violation of this ordinance or the resale of tickets in violation of state law (California Penal Code § 346) may result in fine, imprisonment or both. You acknowledge and agree that your ticket resale, transfer, barter, or trade activity may be monitored and tracked by Angel City FC. In the event that you (a) sell, attempt to sell, transfer, or engage a third party to sell on your behalf, a substantial portion of your season tickets, as determined in Angel City’s sole discretion, or (b) Angel City FC determine that you have purchased season tickets for the primary purpose of financial gain or benefit, Angel City FC reserves the right to terminate this Agreement immediately upon written notice to you. In the event your season tickets are terminated for this reason, Angel City FC will provide you with written notice of such election, and will refund any pre-paid portion of the season ticket fee for which you have not received a benefit. However, and without limiting any of our rights or remedies in connection with any such breach, you shall be obligated to pay (and Angel City FC may retain) that portion of the season ticket fee which relates to Angel City FC games which occurred before exercise of these termination rights.

6. Ticket Pack Items. All purchases of items included in ticket packs are final and non-refundable. Items associated with ticket packs may be picked up on the date of the game the ticket pack applies to. Food/beverage items that are included in specific ticket packs must be picked up at the designated game that the ticket pack is originally associated with. If you are unable to collect a non-food/beverage ticket pack item on the date of the designated game that the ticket pack applies to, you may arrange to collect such item at any other ACFC home game during the same season in which the ticket pack was offered. In no circumstances will ACFC ship or mail ticket pack items. All items must be collected in person at an eligible home game within the applicable season.

7. Stadium Relocation. Without limiting the foregoing, if You are compliant with all terms of this Agreement, in the event that Angel City changes its “home” stadium to a location other than the Stadium (a “New Stadium”), Angel City will provide reasonable prior written notice (a “Relocation Notice”) to the email account associated with your season ticket account, including: (a) the address of the New Stadium; (b) a description of the available seats at such New Stadium; and (c) Your proposed seat location, term length, price, and other terms and conditions related to season tickets at the New Stadium (collectively, the “Relocation Terms”). You will have thirty (30) days from the date a Relocation Notice is given to reject the proposed Relocation Terms by delivering to Angel City written notice of such rejection. If You fail to deliver such written notice of rejection within such thirty (30) day period, You will be deemed to have rejected the Relocation Terms, and you will not have season tickets for Angel City games played in the New Stadium.

8. Playoff Tickets. Tickets for Angel City playoff games are sold at an additional cost above your annual Angel City season ticket fees. For each Angel City FC home NWSL playoff game held at the Stadium, You will automatically retain the right to purchase Your seats and, provided that You do not opt-out, You will be charged for the playoff games that are played in the Stadium. Each year during the term of Your Angel City season ticket agreement, You will receive a notice from Angel City (sent to the email address listed in your Ticketmaster Account Manager portal, or similar portal offered by Angel City’s ticket provider) setting forth the price of Your playoff tickets for such year (the “Playoff Notice”). If You do not wish to purchase playoff tickets for such a year, You may opt-out of the purchase of playoff tickets during the opt-out period specified in the Playoff Notice, and in accordance with the terms set forth in the Playoff Notice, and have no change to your ACFC season ticket membership status. YOU ACKNOWLEDGE THAT IF YOU FAIL TO RESPOND DURING THE OPT-OUT PERIOD PURSUANT TO THE TERMS OF THE PLAYOFF NOTICE, YOU WILL AUTOMATICALLY PURCHASE YOUR PLAYOFF TICKETS FOR SUCH YEAR AND YOUR CREDIT CARD WILL BE CHARGED A NON-REFUNDABLE AMOUNT FOR THE AMOUNT SET FORTH IN THE PLAYOFF NOTICE. IF YOU DO NOT WISH TO PURCHASE PLAYOFF TICKETS, YOU MUST EXPRESSLY OPT-OUT DURING THE PERIOD SPECIFIED IN THE PLAYOFF NOTICE.

9. Excluded Events'. Angel City may host games and/or events outside of the NWSL regular season schedule. These events may include additional games, exhibitions, friendlies, tournaments, or NWSL-controlled events such as an All-Star Game or the NWSL Championship (such events, the “Excluded Events”). The Excluded Events may or may not be included in your Angel City FC season ticket member package. For Excluded Events that are not included in Your Angel City season ticket member package, Angel City may provide you with the opportunity to purchase tickets or access to such Excluded Events, but is under no obligation to do so.

10. Automatic Renewal. Your Angel City FC season ticket memberships will automatically renew for additional seasons unless You provide Angel City (or its ticketing service provider) with notice of cancellation or opt-out. Angel City will send You a written notice (the “Renewal Notice”) prior to renewal of Your season ticket membership, and the Renewal Notice will be sent to the email address associated with Your season ticket account. The Renewal Notice will describe any changes in terms applicable to your Angel City season ticket membership, including price adjustments. You may cancel or opt-out of the renewal of Your membership through the process described in the Renewal Notice or below. BY ENTERING INTO THIS AGREEMENT, YOU AGREE TO THE AUTOMATIC RENEWAL OF YOUR ANGEL CITY FC SEASON TICKET MEMBERSHIP, UNLESS AND UNTIL YOUR SEASON TICKET MEMBERSHIP IS CANCELLED OR YOU OPT-OUT OF RENEWAL AS SPECIFIED IN THE RENEWAL NOTICE OR BELOW. This means that You are obligated to pay the applicable season ticket membership fee to Angel City FC for every NWSL season after You enter into this Agreement unless you tell us otherwise.

The Renewal Notice will specify how You may opt-out of the renewal of your Angel City season ticket membership. However, you may also opt-out of the automatic renewal at any time l by: (a) using the automatic renewal cancellation option in the account listed in its Ticketmaster Account Manager portal (www.angelcity.com/am); (b) calling 213-419-9599 to speak to a Service Executive; or (c) sending an email to: [email protected]. In addition to cancellation of automatic renewal, in the event You elect to terminate this Agreement and your season ticket membership, you will not be obligated to pay the season ticket membership fee for the upcoming NWSL season indicated on the invoice.

You understand that Angel City’s season ticket membership automatic-renewal plan does not constitute a guarantee that Angel City will offer You the opportunity to purchase season ticket membership(s) for any given season and is subject to the good standing of the account associated with the applicable season ticket membership. Angel City FC reserves the right to modify or cancel the auto-renewal plan at any time and require payment for season ticket memberships by some other means. You agree that Angel City may send you notices and invoices related to the Angel City auto-renewal plan via email at the email address associated with your season ticket membership account, and You agree to promptly notify Angel City of any updated email address that should be used to contact You.

You authorize Angel City (which includes, for the purposes of this automatic payment authorization (the "Payment Authorization"), ACFC's service providers, agents and other representatives) to charge the payment card account(s) identified at enrollment or that You have otherwise provided to Angel City or any substitute payment card account You later provide to Angel City (the "Card") for Angel City automatic-renewal payments in the amounts and on or after the dates specified in the invoice, as made available to You, or any modified payment arrangement agreement to which You and Angel City may agree in writing, as applicable. In the event that Angel City makes an error in processing a charge, You authorize Angel City to correct the error by initiating a credit or debit to the Card in the amount of such error on or after the date such error occurs. In the event that You make a partial payment, or You are issued a credit, You authorize Angel City to charge the Card for the amount specified above less the amount of such credit. Instead of or in addition to any payments described above, you authorize Angel City to seek payment from the Card for any amount and on any date that You subsequently confirm by phone, text message or e-mail or for any additional ancillary benefits (parking, other hospitality, etc.) that You request to be included in Your season ticket membership. You also authorize Angel City to reinitiate any charge to the Card that is rejected up to two times or any greater number of times permitted by network rules. You acknowledge that Angel City is not obligated to reinitiate any charge that is rejected and may terminate Your season ticket membership if a charge is rejected and no payment is made within ten (10 days) following the payment due date. You agree to update your Card information if it changes by contacting Angel City or online in your Angel City season ticket membership account. You represent and warrant that You are the owner or authorized user of the Card.

You may cancel this Payment Authorization at any time by contacting Angel City within such time as to allow Angel City a reasonable amount of time to process and act on Your request. Canceling this Payment Authorization will not affect any obligation you may have under Your Angel City season ticket membership, including automatic renewal of your membership. Each charge to the Card will be processed in U.S. Dollars and, if a charge is converted into another currency, its amount may vary based on fluctuations in the applicable conversion rate. You acknowledge that Angel City is not obligated to accept more than one payment card from You or any other cardholder. In the event of a conflict between this Payment Authorization and any other payment authorization You have previously provided to Angel City (whether written or verbal), this Payment Authorization shall supersede and govern.

11. Restrictions. You are prohibited from selling or offering for sale your Angel City FC season ticket membership without the express written consent of Angel City. Your Angel City FC season ticket(s) may not be used for any form of commercial or trade purposes, including, but not limited to, the transfer or sale of all or substantially all of Your season tickets for non-personal, business use, advertising, promotions, contests, or sweepstakes, without the express written consent of Angel City. You agree not to transmit, distribute, barter, trade, or sell (or aid in transmitting, distributing, or selling), for commercial purposes, in any media any description, account, picture, video, audio, or other form of reproduction of any Angel City game or any surrounding activities for which your ticket is issued. Any breach or violation of these restrictions may impact the rights and benefits You receive and shall entitle Angel City to all available legal remedies, including but not limited to revocation or cancellation of Your season ticket membership account, or access to Angel City tickets generally. Upon such revocation or cancellation, neither Angel City nor any of its agents shall have any obligation to issue You a credit, refund or any other compensation for any payments paid.

12. Assumption of Risk/Release of Liability. You or the holder of the ticket to any game or event voluntarily assume all risk and danger of personal injury (including death) and all hazards arising from, or related in any way to, the game (including, but not limited to, injuries caused by players, fans, attractions, soccer balls, or other objects) whether occurring prior to, during or after the game, however caused and whether by negligence or otherwise. You and your guests agree that neither Angel City, National Women’s Soccer League, or their respective affiliates, partners, officers, directors, employees, vendors, representatives, agents, or owners are liable for any injuries from such causes. THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, WAIVE AND HOLD HARMLESS ANGEL CITY FC AND ITS PARENT, AFFILIATES, AND SUBSIDIARIES, THE NATIONAL WOMEN’S SOCCER LEAGUE AND ITS MEMBER CLUBS, AND EACH OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS AND AGENTS, FROM AND AGAINST ANY CLAIMS, ACTIONS, INJURY, LOSS OR DAMAGE OF ANY KIND, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY OR DEATH, RESULTING FROM YOUR ANGEL CITY FC SEASON TICKET MEMBERSHIP OR ANY PRODUCTS, SERVICES, MERCHANDISE, FOOD OR OTHER ITEMS RECEIVED IN CONNECTION WITH YOUR ANGEL CITY FC SEASON TICKET MEMBERSHIP. THIS LIMITATION OF LIABILITY IS A COMPREHENSIVE LIMITATION OF LIABILITY THAT APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING (WITHOUT LIMITATION) COMPENSATORY, DIRECT, INDIRECT, OR CONSEQUENTIAL. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS MAY NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

13. Fan Behavior. Angel City desires to ensure that the fan experience at the Stadium is welcoming, inclusive, and safe. Any ticket holder who behaves in an unruly, objectionable, disruptive, or offensive manner, including, but not limited to, foul language, intoxication, physical or verbal abuse of other fans, Stadium employees, game officials, players or coaches before, during, or after a game may be asked to leave the Stadium. The account holder of record is strictly responsible for such behavior by anyone using their tickets. If You or any of Your guests engage in such behavior, as determined in Angel City’s sole discretion, Angel City reserves the right to suspend or terminate your Angel City FC season tickets, revoke the privilege of You and/or Your guests to attend Angel City FC matches, ancillary Angel City FC and/or NWSL events, or any other events held at the Stadium, or otherwise sanction You and/or Your guests as permissible by law, without refund or other compensation in accordance with Angel City’s and/or the NWSL policies and procedures.

14. Use of Image. You (or the user of Your ticket(s) for any particular game) grant permission to Angel City and the NWSL (and each of their designees, licensees, and agents) to utilize Your and Your guests’ image, likeness, actions and statements in any live or recorded audio, video or photographic display or other transmission, exhibition, publication or reproduction made in connection with your Angel City season tickets in any medium or context for any purpose, including commercial or promotional purposes, without further authorization, approval, or compensation.

15. Communication. By entering into this Agreement, You agree that You are providing express written consent to Angel City FC to receive text messages via automatic Angel City FC messaging systems. This messaging may consist of both non-marketing and marketing messages, such as information regarding Your account, tickets, games, and events. This consent only authorizes Angel City FC to send these specific SMS messages, and no other entity is authorized to send SMS messages with this express written consent.

If Your device does not support MMS alerts, then You may receive an SMS alert. Message and data rates may apply. Depending on Your wireless plan, Your wireless service provider may charge You for each text message You send and receive.

Not all mobile devices may be supported, and our messages may not be deliverable in all areas. Angel City FC, its service providers, and the mobile carriers supported by the program are not liable for delayed or undelivered messages. Angel City FC will only send text messages during normal business hours between 9:00 am and 5:00 pm PT.

To opt out and stop receiving text messages from a specific operator text message program, simply text “STOP” to the short code provided in the text messages that You no longer wish to receive. You understand and agree that texting “STOP” does not constitute a “do not call” request. You understand and agree that terms other than “STOP” may not be recognized as a cancellation request, and the operator bears no responsibility for not processing an opt-out that uses a term other than “STOP.” To opt back in to receiving text messages from a specific operator, simply text “SUBSCRIBE” to the short code provided in the text messages that you wish to receive. By entering an Angel City FC texting program or promotion, You accept and agree to be bound by the Angel City FC Terms of Service and Privacy Policy (both of which are incorporated herein by reference). The data obtained in connection with this service may include personal information, including but not limited to Your phone number, any other personal information You provide, and information automatically collected from You and any text messages You send, such as information about Your device type and any metadata of any text messages You send. Please see the Angel City Privacy Policy regarding what information may be collected and how such information may be used by us here.

16. Dispute Resolution.

1. This Agreement is governed by the Federal Arbitration Act, which allows parties to agree to use arbitration, rather than litigation, to resolve disputes. In arbitration, disputes are resolved by an arbitrator, not a judge or a jury. In exchange for Your Angel City FC season ticket membership, You agree to be bound by this Section of this Agreement.
2. You agree to submit all disputes and claims that You have and that You ever may have against Angel City FC, LLC or any of its affiliates (collectively the, "ACFC Parties") arising out of or relating to Your Angel City FC season ticket membership ("Claims"), including all Claims asserting that any of the ACFC Parties or any of their respective agents engaged in conduct prohibited on any basis under any federal, state, or local statute, ordinance, regulation, rule of decision, or principle of common law, to binding arbitration in accord with this Section of this Agreement.
1. The arbitration of any Claim will be administered by the American Arbitration Association ("AAA"), using its Consumer Arbitration Rules and its Consumer Due Process Protocol Statement of Principles (collectively, "AAA Rules & Principles") in effect at the time the Claim arises. The AAA Rules & Principles (and the forms used to file for arbitration of a Claim) are available online at www.adr.org, or You can call the AAA at +1 (800) 778 7879 to ask for a copy.
2. The arbitration will take place in Los Angeles, California. However, if the arbitrator determines that Los Angeles is not reasonably convenient to You (with due consideration of the ability to travel and other pertinent circumstances), the arbitration will take place in such location that the arbitrator determines is reasonably convenient to both You and the ACFC Parties.
3. The AAA Rules & Principles determine the filing fee that You would be required to pay to commence an arbitration with the AAA. Responsibility for the arbitrator's fees and costs will be allocated by the arbitrator in accord with the AAA Rules & Principles.
4. You have the right to consult with or be represented by an attorney or other spokesperson of Your own choosing during the arbitration process. Each party is responsible for its own representative's fees and other expenses, such as witness fees and expert witness costs, incurred during the arbitration process.
5. The arbitration of any Claim will be conducted in a confidential manner to an extent consistent with the AAA Rules & Principles, except as may be required by applicable law, and except as necessary to confirm, vacate, or enforce the arbitration award. The arbitrator will make reasonable efforts to maintain the privacy of the hearing to the extent permitted by applicable law; the hearing will not be open to the general public.
6. The arbitrator, and not any federal, state, or local court or agency, will have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Agreement, including any claim that all or any part of these Agreement is void or voidable, and including any dispute over whether any claim is subject to arbitration under these Agreements.
7. Judgment upon the arbitration award will be final, binding, and conclusive upon the parties and may be entered in any court having jurisdiction.
3. By this Agreement You knowingly and voluntarily waive any right to a jury trial on any Claim.
4. By this Agreement You also knowingly and voluntarily waive any right to pursue any class action relief against any of the ACFC Parties on any Claim. You agree to arbitrate all Claims in Your individual capacity only, and You waive any right to seek or recover relief in any forum against any of the ACFC Parties on any Claim on any class action, collective, representative, or similar basis.
5. You agree to submit to the personal jurisdiction of any federal or state court in Los Angeles, California, in order to compel arbitration, to stay proceedings pending arbitration, or to confirm, modify, vacate or enter judgment on the award entered by the arbitrator.
6. Compliance with Laws. Angel City FC’s performance of this Agreement is subject to existing laws and legal process, and nothing contained in this Agreement shall waive or impede Angel City’s right to comply with law enforcement requests or requirements relating to Your season ticket membership or information provided to or gathered by the Angel City with respect to such season ticket membership.

17. Governing Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Subject to Section 16, You agree that the proper and exclusive forum for any legal action arising out of or relating to this Agreement shall be Los Angeles, California, and that any such action shall be brought only in Los Angeles, California. You consent to the exercise of personal jurisdiction in any such action by the state or federal courts located in Los Angeles County, California.

18. Waiver; Severability. Any failure by Angel City FC to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect.

19. Entire Agreement. This Agreement constitutes the complete and entire statement of all terms, conditions and representations of the agreement with respect to Your Angel City FC season ticket membership and supersedes all prior writings or understanding. Angel City’s affiliates or subsidiaries and the NWSL are third party beneficiaries of this Agreement and shall have the right to enforce this Agreement against You.

20. Modification. Angel City may modify the terms and conditions applicable to your season ticket member in its sole discretion, including this Agreement, upon notice. Upon remitting any further payment toward your Angel City FC season tickets, or by accepting delivery of or using Your tickets or accepting other season ticket member benefits, You are deemed to have read the modified Agreement, understood it and agreed to be bound by it.

21. Acceptance of This Agreement. Upon remitting any full or partial payment toward Your annual Angel City FC season ticket fees, or by clicking the link below, or by accepting delivery of Your tickets and/or any Angel City FC season ticket member benefits, You acknowledge responsibility for payment of the full annual Angel City FC season ticket fees and expressly accept and agree to the terms and conditions of this Agreement.
